These terms govern the sale of services (audiovisual production, web development, digital strategy) by NORDE SRL, to both professionals and consumers. They apply unless particular conditions are agreed in writing in the quote.
Every service is subject to a detailed prior quote. The order is only confirmed after the quote is signed (or approved by email with the mention "Approved for agreement") and payment of a deposit of 50% of the total amount including VAT.
Prices are stated in euros. VAT is applied at the rate in force. Payment is made by bank transfer. The balance is due upon delivery of the project or according to the payment schedule defined in the quote.
Between professionals, any late payment automatically incurs late-payment interest and an indemnity for recovery costs, in accordance with the law of 2 August 2002. For consumers, a first free reminder is sent before any surcharge, in accordance with Book XIX of the Code of Economic Law; interest and indemnities then remain capped by law.
A consumer who concludes a distance contract has, in principle, a 14-daywithdrawal period. However, in accordance with Article VI.53 of the Code of Economic Law, this right does not apply, among others, to services fully performed where performance has begun with the consumer's prior express consent and their acknowledgement that they will lose the right of withdrawal, nor to goods or services made to the consumer's specifications or clearly personalised. As our services are produced to order, they generally fall under these exceptions; the precise terms are set out in the quote.
Delivery times are provided for guidance only at the quotation stage. They depend in particular on the client's responsiveness in providing the necessary elements (texts, images, access, approvals). Any delay attributable to the client cannot engage the service provider's liability.
Consumers benefit from the legal guarantee of conformity provided by the Code of Economic Law. Any non-conformity must be reported to us within a reasonable time of its discovery, at kriss@norde.be.
NORDE SRL retains exclusive ownership of all creations, source files, graphics and code produced as part of the service. Payment of the invoice only grants a license to use the work for the purpose specified in the quote. Any transfer of intellectual property (assignment of economic rights) must be the subject of an explicit request from the Client and will be subject to additional invoicing as well as a specific assignment agreement.

These terms are governed by Belgian law. In the event of a dispute that could not be resolved amicably, the courts of the judicial district of Walloon Brabant (Nivelles division) shall have jurisdiction, subject to the protective rules applicable to consumers.
